Teaming structures: partnership, joint venture, and strategic alliance compared
One-line orientation
A joint venture is a formal arrangement for a specific project. A strategic alliance is a looser relationship between firms that remain separate. Both may begin before a project is awarded.
Key points
- Partnership:
- An ongoing firm structure in which two or more principals share profit and losses.
- Not project-specific; exists as a continuing business relationship.
- Joint Venture (JV):
- Creates a formal project-specific shared-risk relationship; it may be a separate legal entity or a contractual JV.
- Joint venturers share project risk. Joint-and-several liability is common, but not universal; entity form and governing law matter.
- Commonly formed to pursue the project (pre-award); the JV then enters the owner agreement if awarded.
- Participants share profit, loss, and liability through the JV arrangement for that project’s duration.
- Strategic Alliance:
- An agreement between separate firms to pursue work together.
- Formed before project award (at the pursuit / proposal stage).
- No new legal entity is created — each firm remains independent.
- An alliance may support a proposal or a broader continuing collaboration. It does not by itself create a new legal entity.
